By accessing or using MarketCatalyx (the "Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you must stop using the Service immediately.

These Terms apply to all visitors, registered users, and anyone else who accesses the Service. Your continued use of MarketCatalyx after any changes to these Terms constitutes your acceptance of the updated Terms.

MarketCatalyx is an AI-assisted market intelligence platform that helps retail investors understand why individual stocks moved. The Service includes:

• AI-generated catalyst analysis sourced from aggregated financial news (the "Why Moved Engine")
• A confidence scoring system that assesses the strength and corroboration of identified move drivers
• A personal watchlist with per-ticker alert preferences
• Email digest alerts when watched stocks move significantly
• Multi-source news aggregation with tier-ranked source attribution

The Service is designed to surface research context, not to replace professional financial advice. All analysis is automated and may be incomplete, delayed, or inaccurate.

You must be at least 18 years old to use MarketCatalyx. By using the Service, you represent and warrant that you are 18 or older and have the legal capacity to enter into a binding agreement.

The Service is intended for personal, non-commercial use only. Use of MarketCatalyx for commercial purposes — including reselling analysis output, operating a paid signal service, or incorporating our AI output into products for third parties — is prohibited without a written commercial licence.

When you register for an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us immediately at stockmoveai@gmail.com if you suspect unauthorised access to your account. We are not liable for any loss or damage arising from your failure to protect your credentials.

You may not share your account with others or create accounts on behalf of third parties without our written consent.

You agree not to use the Service to:

• Engage in or facilitate market manipulation, including spreading false information derived from our analysis
• Scrape, crawl, or systematically extract data from the Service using automated tools
• Resell, redistribute, or commercially exploit AI-generated analysis output without a written licence
• Circumvent the 5 free analyses per day limit through technical means, including rotating IP addresses, clearing cookies, or creating multiple accounts
• Reverse-engineer, decompile, or otherwise attempt to extract the source code or underlying models
• Transmit malicious code or interfere with the integrity or availability of the Service

Violation of these provisions may result in immediate account suspension and, where applicable, legal action.

All analysis, verdicts, confidence scores, key driver breakdowns, and related output ("Analysis") provided by the Service are for informational and research purposes only. Nothing in the Analysis constitutes a recommendation to buy, sell, or hold any security or financial instrument.

You are solely responsible for your investment decisions. MarketCatalyx, its owners, employees, and agents expressly disclaim any liability for losses or damages of any kind arising from your reliance on the Analysis. Past analysis accuracy is not indicative of future accuracy.

Confidence scores represent the strength of news corroboration for a given move — they do not predict future price movements and should not be treated as probability estimates for trading decisions.

AI-generated analysis may contain errors, omissions, or outdated information. We make no warranty that the Analysis is accurate, complete, or current. Known limitations include:

• AI errors: The language model may occasionally produce plausible-sounding but factually incorrect statements.
• Single-source cap: Analyses based on a single news source carry a confidence score cap and may miss important counter-narratives.
• Cache delay: Analysis results are cached for up to 4 hours. The Service may display analysis that does not reflect the most recent market developments.
• Coverage gaps: Not all stocks have sufficient news coverage for a full analysis. Low-coverage results are flagged with a lower confidence score.

MarketCatalyx owns all right, title, and interest in the Service, including the user interface, design, wordmark, software, and AI-generated output produced by our systems. Nothing in these Terms transfers any intellectual property rights to you.

Third-party news content displayed via source attribution remains the property of the respective publishers. We aggregate publicly available headlines and summaries; we do not reproduce full articles.

You retain ownership of your personal watchlist data. By using the Service, you grant MarketCatalyx a limited, non-exclusive licence to store and process your watchlist data solely to deliver the Service to you. You may export or delete your watchlist data at any time.

The Pro plan is billed at $9.99/month, charged automatically on a recurring basis to your payment method on file. Subscriptions renew automatically unless cancelled before the renewal date.

• Cancellation: You may cancel at any time. Cancellation takes effect at the end of the current billing period; you retain Pro access until then.
• Refunds: We do not offer partial-period refunds. If you cancel mid-period, no refund is issued for remaining days.
• Price changes: We will give you at least 30 days' notice before changing subscription prices, via email or an in-app banner.
• Cache hits: Retrieving a cached analysis result does not count against the 5 free analyses per day limit.

You may delete your account at any time from your account settings. Upon deletion, your personal data will be removed in accordance with our Privacy Policy.

We reserve the right to suspend or terminate your account immediately, without notice, if we determine that you have violated these Terms, engaged in fraudulent activity, or otherwise caused harm to the Service or other users.

Upon termination, all rights granted to you under these Terms immediately cease. Sections 6, 8, 11, and 13 survive termination.

To the fullest extent permitted by applicable law, MarketCatalyx and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to investment losses, loss of profits, loss of data, or loss of goodwill.

Our total aggregate liability to you for any claims arising out of or relating to the Service shall not exceed the greater of: (a) the total fees paid by you to MarketCatalyx in the twelve months preceding the claim, or (b) US$10.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

We may update these Terms from time to time. For material changes — including changes to pricing, liability limitations, or data handling — we will provide at least 14 days' notice via email to your registered address or an in-app banner before the changes take effect.

Non-material changes (such as fixing typographical errors or clarifying existing provisions) may be made without advance notice. The "Last updated" date at the top of this page always reflects the most recent revision.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
